Linda, Peter, Ben; thanks for the replies.  Yes, this was the
corporate version and the first time & only time I have
installed it.  I got it working; seems 12+ hrs of straight
work had exhausted me more than I thought, I should have saved
this 'project' for when I woke up.  I went through this
process again and this time it worked.  I was leaving out the
step MS mentioned about going into the registry and changing
at least one character of that dword or binary value, THEN
running that command line (I found that exact same info at the
URL below @ the MS site).  I still don't know why this
happened in the first place.  I guess it goes back to being
exhausted when I first started to check out XP & screwed
something up along the way.

Now when I eventually put XP on my main HD, should I format as
FAT or NTFS?  What are the advantages/disadvantages of NTFS?
When I was checking it out this time, I opted for FAT.
