The $100 fee on exit is described here - "Don't pay for Access to BizSpark! If you meet the above enrollment criteria, you can join BizSpark through a valid BizSpark Network Partner or by contacting Microsoft directly. There are no upfront fees for BizSpark access, enrollment or registration services, just a $100 Program Fee upon program exit."

On a cursory look, I can't find the contract on their website (probably buried deep in the enrollment process), but one I did find via Google doesn't mention either (http://download.microsoft.com/download/e/4/c/e4c42570-d868-47ea-bb5d-b1ce0954c9bd/BizSpark%20Startup%20Agreement.pdf). Having access to the 'points service' basically means you can sell things on the Xbox Marketplace. Points (or more officially known as Microsoft Points) is a virtual currency used on the Xbox/Zune Marketplace (and probably in other Microsoft places soon). You probably won't end up utilising it, given it is mainly for games and media content.
