1. Put Tomcat 3.2.3 (that's latest release)
2. Do "build clean"
3. Do not copy cocoon, but do build install (see "3a) Automatic install." in install 
file)
4. Remove jaxp.jar, parser.jar from tomacat/lib
5. put xerces_1_4_1.jar into tomcat/lib
6. launch tomcat.

If you still have problem, send cocoon.log.

PS: Yes, I use Cocoon with Tomcat 3.2.3, 4.0b4, 4.0b5, 4.0b6
