I wanted to check into this further.  Called Bill at Microsoft
(1-800-426-9400, option 4, then 3, then 2).  He pointed me to the latest
updated Microsoft Licensing   Product Use Rights PDR at:

On page 38 paragraph f:  "Windows Server 2003, Web Edition Usage Rights.
The Server Software may be used solely for deployment of Web pages, Web
Sites, Web Applications, Web Services, and POP3 mail serving."

He agreed that Ipswitch Imail is an allowed application for Windows Server
2003, Web Edition.
