The current draft D20STL requires that you're at least derivitive of the D20SRD.
If you *ARE* derivitive of that document, you either have to have a special notice
from WotC
or follow the OGL. Otherwise, you're guilty of copyright AND trademark infringement.

Assuming that nothing is "derivitive?"
maybe.
Of course, it's just easier to make all of your "game rules" open (incluing stats),
and have
all of your in-game material PI.
