Larry, It is licensed material, valid under the terms of the license and you should know better about the phone home crap. Any of the software will operate without an internet connection (activation can be done in person over the phone by you), so the only way it could phone home on its own, unless Microsoft has taken over another of the acronyms... ESP ... ; - )
