I have upgraded from VB 3.x to 4.x on Mac OS-X, CentOS 5.6, and 
Scientific Linux 6 hosts, with Windows XP, Windows 7, CentOS-5, and SL-6 
guests without any loss of capability.  New VMs are created with the new 
file structure, but old ones will still work.  Because I prefer the new 
structure I have exported old VMs FROM 3.x and re-imported then into VB 
4.  I encountered no USB issues except that in at least one instance I 
had to re-add users to the vboxusers group.

I would strongly recommend updating that old, buggy, and insecure SL 
version in any case.
