Yeah, this won't work out so well. P4 solution will be better then the Athlon XP solution, though it would cost you more (since the other route you have the board + processor).
Here's another solution (and think about this) The ATI AIW is still a software-encoding system. So, it takes high CPU. Get a card that does true hardware compression (like an ATI Theater 550 based card, or whatever) as a separate PCI input.
