The following procedure works for me (using Photoshop 7):


1.  Create a Watermark file by saving a PSD file in the
        Grayscale color mode.
2.  Open a sample file so you can create the Action.
3.  Create a new Action, and with the sample file open, go to
        the "Filter" menu, select "Texture" and then select the
        "Texturizer" filter.
4.  When this dialog opens, change from the default "Canvas"
        texture to "Choose File...".  Locate your new PSD file
        that contains a Grayscale version of your watermark.
        Make adjustments to the Scaling, Relief and Light Dir.
        Click OK.
5.  Stop recording the Action.

From here, you can just do a simple Batch and I did not have
any problems with the losing the Watermark file.  If this was
not the watermark effect you were looking for, you might try
some of the other filters that accept PSD files.

The advantage with this method is that you have a repeating
watermark, or if your PSD Watermark document is large enough,
it will only show in a 1 or 2 impressions.
