Download an older and smaller version via xmodem. Then, when that's up you
can tftp the larger version and it won't take as long.

Thanks Chris and Pawel,
 The problem was solved by the Xmodem
from rommmon>. That was really a very very slow procedure and took about 1.5
hours to transfer the image through the Console cable.

Yes, this should work except of necessary partitioning and flashing again
old software of 3640 into old partition.

Without 3640 you can do it as follows:
 Install old 2x8 fsimms and boot old software
 Partiton flash into 2 equal size partitions  (8MB each)
 Flash any old software less than 8Mbit into one partition
 Install mix of old and new fsimms (total of 24M flash should appear)
 Partition once again into 2 or 3 partitions of 8MBs 
 Flash partition beginning at new fsimm boundary
 Install both new fsimms
 Finally partition and flash as desired.

When you remove the old flash, there goes your IOS.  For some reason the 
"rom" IOS doesn't allow you to download images via tftp from rom mode.  You 
will need to download IOS to the new Flash via your console port from 
rommode.
One way to get around is if you have a flash card (not SIMMS), copy an IOS 
image in there before you replace the SIMMS.
