With the factory firmware it is necessary to have an internet so that
you can upgrade the firmware to the most recent available.  I don't
recall for certain, but it may also be possible to update the firmware
if you have a local SbS on your network and it has a more recent
firmware.  Considering that the factory software will be at least eight
months old by the time the Touch goes on sale, you wouldn't want to skip
this step.

With newer firmware, it's no longer a part of the initial setup to
connect to the internet and do a firmware upgrade.  There -is- a step in
the setup where you're asked to create a mysqueezebox.com account for
the player, but this can be bypassed by left-right swiping the screen. 
I haven't tried it recently, but without an internet connection it may
also timeout and then let you proceed to the Home menu.
