No I understand the difference of what you were saying, but I have never heard anyone say something was not a VPS/VDS simply because it used a control panel to manage it. If it is a dedicated virtual instance then it is a VDS/VPS, how it is managed doesn't change that fact
You can classify a VPS as two types if you want, one with full access and one without, but you you wouldn't say a dedicated server managed by cpanel is not a dedicated server simply because it is not a dedicated server you manage via SSH, they are both dedicated servers. Just like a VPS is a virtual private server, and a VDS is a virtual dedicated server (same thing different name). Every VPS I have had is exactly what you have described a VM server as. The bottom line with any hosting company is you have to pay attention to what they are giving you and if that is what you want.
