final conclusion with the NTP issue.. I found out that if there is no ntp 
master command CUCM will never syn with HQ router.. the moment i added ntp 
master it syns right the way, but Hq is only getting the clock from itself not 
from the UTC.....  some one can try this and lets see. I spend the whole day on 
this.. I think the question was set wrong. I would raise a red flag if i see 
this question anywhere.
