His problem isn't with PXE. His problem is happening AFTER PXE has downloaded the Linux kernel. It's probably not able to recognize the network card. I'd try booting that machine from a hard disk or cdrom, and see if the network card is properly detected and initialized. Jim McQuillan j...@lts

Can you send the contents of your dhcpd.conf file?  It's possible that it's being directed to the wrong file.  I had the same issue once and I just changed the file I was pointing at to fix it.  Are you sure you're pointing at the right pxelinux file?   I'm using lts//2.6.9-ltsp-3/pxelinux.0.
